Circular 3,684, dated as of December 16^th 2013, as amended, from Brazilian Central Bank (“BACEN”) which, among other provisions, rules the Direct Foreign Investment registry (“IED”) in Brazil, provides a quarterly economic and financial statement which shall be delivered by companies that have IED (“Brazilian Companies”). The statement shall be submitted by Brazilian Companies that have, in each base date mentioned below, total assets or net equity equal or superior than R$ 250,000,000.00:

The statement is submitted online by means of BACEN’s electronic system.

Brazilian Companies with total assets or net equity lower than R$ 250,000,000.00 may only update certain information related to them until March 31^st of every year, related to base date of December 31^st of the previous year.

The false, incomplete, inaccurate information, or the lack of timely provision of information, may subject Brazilian Companies to a penalty from BACEN.
