Circular 3,689/2013 and its amendments, from Brazilian Central Bank (“BACEN”), among other provisions, establish the quarterly economic and financial statement which shall be delivered by companies that have direct foreign investment (“Brazilian Companies”) to BACEN. The statement related to the fourth quarter of 2017 shall be submitted until March 31st, 2018 by Brazilian Companies that have, in base date December 31st, 2017, total assets or net equity equal or superior than R$ 250,000,000.00.

Brazilian Companies with total assets or net equity lower than R$ 250,000,000.00, are dismissed to submit the referred quarterly statement. However, they must update their corporate structure with base date December 31st, 2017 until March 31st, 2018.

The statement and the update of corporate structure are submitted online by means of BACEN’s electronic system.

The false, incomplete, inaccurate information, or the lack of timely provision of information, may subject Brazilian Companies to a penalty from BACEN.
